1. The agreement
These terms govern your use of the Stoxa website, application and API (the “Service”), operated by Azbouki R&D LTD, registered in Bulgaria (“Stoxa”, “we”, “us”). By creating an account or using the Service you agree to them and to our privacy policy. If you use the Service on behalf of a company, you confirm you may bind that company, and “you” means the company.
2. Accounts
You must be at least 18 and able to enter a contract. Keep your sign-in details and API keys confidential; everything done through your account or keys is your responsibility. Tell us at once if you believe your account has been compromised. One person may use an account. Automated clients, scripts and AI agents may use the Service under your account and API keys, and their activity counts as yours.
3. Not investment advice
Stoxa is a research tool. Valuations, screens, backtests, macro series and every other output are the product of models, assumptions and historical data that may be incomplete, delayed or wrong. Nothing in the Service is investment, financial, legal or tax advice, a recommendation, a solicitation, or an offer to buy or sell any security. We are not a broker, dealer, investment adviser or fiduciary, and we do not know your circumstances. Backtested and historical results do not predict future returns. Any decision you make based on the Service is yours alone, and you should verify figures against the original filings before relying on them.
4. Subscriptions, billing and cancellation
Access to the product requires a paid subscription, billed monthly or annually at the prices shown on the pricing page at the time you subscribe, plus any applicable taxes. Payments are processed by Stripe under its own terms. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from “Manage billing” in your account; cancellation takes effect at the end of the current period and you keep access until then. If we offer a free trial, you will be charged when the trial ends unless you cancel before that date, and only one trial is available per person.
Except where the law requires otherwise, fees are non-refundable and we do not give refunds or credits for partial periods, downgrades or unused time. If you are a consumer in the European Union or United Kingdom you have a 14-day right of withdrawal; by starting the subscription immediately you ask us to begin the service during that period and acknowledge that the right ends once the service has been fully delivered, so a refund for that period is limited to the unused part. We may change prices with at least 30 days’ notice by email; the new price applies from your next renewal after the notice period, and you may cancel before then.
If a payment fails we may suspend access until it is settled.
5. Acceptable use
You may use the Service and its data for your own research, analysis and decision-making, including through notebooks, scripts and agents you run. You may not:
- resell, sublicense, redistribute or publicly republish the Service’s datasets or substantial extracts of them, or build a competing data product from them;
- share accounts or API keys, or circumvent seat limits, rate limits or quotas;
- scrape, crawl or bulk-download the Service other than through the documented API within its limits;
- interfere with the Service, probe its security, or access data or accounts that are not yours;
- use the Service for anything unlawful, including market manipulation.
Quoting individual figures, charts or short extracts with attribution to Stoxa in your own writing, research or products is fine.
6. Data sources and accuracy
The Service draws on public and licensed sources, including the SEC’s EDGAR filings, market-data vendors and central banks. Those sources have their own terms, which may limit how their data can be used, and we pass those limits on to you. We work to keep data accurate and point-in-time correct, and we flag known problems in the product, but we do not warrant that any data is complete, current or error-free. Coverage, sources and features may change.
7. Intellectual property
The Service, including its software, models, design, documentation and compiled datasets, belongs to Stoxa or its licensors and is protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use it under these terms for as long as your subscription is active. You own the screens, watchlists, scenarios and other inputs you create; you grant us a licence to store and process them to run the Service. Feedback you send us may be used without obligation. Stoxa is not affiliated with or endorsed by Aswath Damodaran, NYU Stern, the SEC or any data vendor.
8. Availability and changes
We aim for high availability but do not guarantee uninterrupted service. We may change, suspend or discontinue features, limits or the Service itself. If we discontinue the Service entirely we will give at least 30 days’ notice and refund any prepaid period beyond the shutdown date.
9. Disclaimer of warranties
To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
10. Limitation of liability
To the fullest extent the law allows, Stoxa will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost investments, trading losses, lost data or business interruption, arising from or related to the Service, even if advised of the possibility. Our total liability for all claims in any twelve-month period is limited to the amount you paid us in that period. Nothing in these terms limits liability that cannot be limited by law, including for death, personal injury, fraud or, where you are a consumer, your statutory rights.
11. Indemnity
If you use the Service in breach of these terms or the law and we face a claim as a result, you will cover our reasonable costs and losses from that claim. This clause does not apply to consumers where the law prohibits it.
12. Termination
You can close your account at any time by cancelling your subscription and emailing us to delete the account. We may suspend or terminate your account if you materially breach these terms, if required by law, or if your conduct risks harm to the Service or others; where practical we will warn you first. On termination your licence ends and we delete your data as described in the privacy policy. Sections 3, 6, 7, 9, 10, 11 and 13 survive termination.
13. Governing law and disputes
These terms are governed by the law of Bulgaria, and the courts of Sofia, Bulgaria have exclusive jurisdiction, except that consumers keep the protection of mandatory law and the courts of the country where they live. Before starting any claim, please write to us; most problems can be sorted out by email.
14. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and, for material changes, email account holders at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new terms; if you do not, cancel before then.
